IsCham will be honored to host a professional seminar for foreign enterprises, under the subject of “How a foreign enterprise faces critical operational and legal challenges in China?”, with our member InterTrust and Jordan Yang, on May 19th in IBCC.
In 2015, against the broadly publicized backdrop of a slowdown in economic growth rate and amidst heavy stock market volatility, China saw another year of steady growth in foreign direct investment (FDI). In fact, non-financial FDI (excluding banking, security and insurance data) into China reached an all-time high of USD 126.3 billion (*public statistics).
Whereas foreign enterprises and investors are getting more sophisticated in doing business in China, a lot may still find themselves confronted with confusing legal, tax, IP protection and other operational issues.
In this seminar, two main aspects will be covered. First of all, light will be shed on some commonly spot misconceptions among foreign investors, Jason Xu, General Manager Shanghai & Guangzhou office at Intertrust China will unfold true realities such as:
- ROs vs WFOEs
- Relocation
- Changes in registration information
- Transfer of money
- Payment for subsidiaries
- Allocation of headquarter expenses
- Expat taxation
From a legal perspective, the environment for foreign trading and investment in China is undergoing changes, with establishment of free trade zone in several areas around China as well as a rapid adjustment in terms of sensitive industries and variable domestic market.
In the second half, to facilitate the above concerns, Jordan Yang-Parter at AllBright Law Offices will discuss the legal update in terms of cross-border investments and transactions relating to China, with special examination of following topics:
- Changes of tax law and policy with consideration of double taxation;
- Protection, transfer and licensing of intellectual property including trademark, patent and copyright, etc. in view of cross-border limitation or prohibition;
- Practice of China’s corporate law which influences foreign invested companies in China;
- Legal risks in execution and enforcement of a foreign related contract with fundamental terms to be reviewed.
